What DPT-3 actually is

DPT-3 is the annual return of deposits a company files with the Registrar of Companies under the Companies (Acceptance of Deposits) Rules.
It is due every year by 30 June, covering the financial year that ended on 31 March.
It covers not just public deposits - loans from directors, shareholders, banks, and even certain advances all get reported.
Companies with no deposits at all still file a nil DPT-3. Filing nothing is not an option.

What if my address proof is old?

Utility bills and bank statements must be less than 2 months old. If yours are older, get a fresh copy — the MCA rejects stale proofs.

Do I need original documents?

No. Clear scans or photos work for the entire process. We never ask you to courier originals.

What if directors live in different cities?

That's normal. Each director uploads their own documents separately. Our system keeps everything organised.

I'm outside India. Can I still register a company?

Yes. India allows 100% foreign ownership in most sectors, and the entire process happens online. You need one Indian resident director, and your passport + address proof must be apostilled — we'll guide you through both. NRI founders and foreign investors do this with us regularly.

How long does registration actually take?

7 to 10 working days from the day your documents are verified. Name approval takes 2-3 days, MCA incorporation another 5-7. We track every stage and update you.

Close the books for 31 March

DPT-3 reports the position of deposits and exempted borrowings as on 31 March each year — even if the company accepted no deposits at all.

Classify every borrowing correctly

The critical step: separating true deposits from exempted categories like bank loans and director loans. Wrong classification is the most common error.

Get the auditor's certification

The statutory auditor certifies that the figures in the return agree with the audited financial statements.

Prepare Form DPT-3

We prepare the e-form with the certified figures, net worth, and borrowing breakup.

File by 30 June every year

The annual DPT-3 is due on 30 June. Late filing attracts additional fees that escalate with delay.

Keep the acknowledgement on record

Yes, it is reported as an exempted deposit - provided the director has given the required declaration that the money is not borrowed. Without that declaration, the treatment changes.

Additional fees accrue per day of delay, and the ROC can treat continued default seriously. File the backlog as soon as possible - the meter does not stop on its own.
