What FC-GPR does

FC-GPR (Foreign Currency - Gross Provisional Return) reports the issue of shares or convertible instruments to a person resident outside India.
It is filed on RBI's FIRMS portal through your Authorised Dealer (AD) bank, within 30 days of the date of allotment.
The filing is linked to the FIRC - the Foreign Inward Remittance Certificate your bank issues when the money arrives.
Shares must be issued at a fair value determined by an accepted valuation method. The valuation report is part of the filing.

Identify the reportable FDI event

Whenever an Indian company issues shares to a person resident outside India, the investment must be reported to the RBI through the FIRMS portal.

Register on FIRMS and route funds correctly

The Indian company must have its Entity Master on the RBI's FIRMS portal, and the foreign remittance must come through proper banking channels with a FIRC.

Get the valuation done

Shares must be issued at a price not less than fair value, supported by a valuation from a SEBI-registered merchant banker or chartered accountant.

Allot the shares

The board allots the shares, and the share certificates and statutory registers are updated.

Report within 30 days of allotment

FC-GPR (in the Single Master Form) must be filed within 30 days of the share allotment. Late filing draws compounding penalties under FEMA.
