A partnership deed is the written agreement between partners of a partnership firm, governing their mutual rights and obligations.
It records capital contributed by each partner, the profit and loss sharing ratio, and each partner's role in the business.
It defines management authority, banking operations, and restrictions — which partners can bind the firm, borrow, or admit new partners.
It sets the rules for partner entry and exit: retirement, expulsion, death of a partner, and valuation of the outgoing partner's share.
While an unregistered firm can operate on an oral agreement, a written (and ideally registered) deed is essential for enforceability and for the firm to sue.

Agree the partnership terms

We discuss capital, profit sharing, roles, and decision-making. Under the Indian Partnership Act, 1932, partners are free to set their own terms — the deed is where those terms become enforceable.

We draft the deed

Our lawyers draft the deed covering firm name, business, capital, profit sharing, duties, drawings, interest on capital, admission and retirement of partners, and dissolution. First draft typically takes 2-3 working days.

Partners review and sign

All partners review the draft and sign. The deed is executed on stamp paper of adequate value — stamp duty varies by state.

Firm PAN and bank account

We help you apply for the firm's PAN and open a current account, which need the signed deed.

Register with the Registrar of Firms (recommended)

Registration isn't mandatory but is strongly advised — an unregistered firm cannot sue its partners or third parties under Section 69 of the Partnership Act. We file the registration with the state Registrar of Firms, typically completed in 7-15 working days.
