SPICe+ Form Explained: The Single Form for Company Incorporation in India
SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) is the single MCA form used to incorporate a company in India. One form covers name reservation, director DIN allotment, incorporation, PAN, TAN, EPFO, ESIC, and GSTIN — things that used to need seven separate applications.
It's split into two parts: Part A for name reservation and Part B for everything else. Here's how each part works and what trips founders up most often.
What SPICe+ Replaced
Before SPICe+, incorporating a company meant running between forms: RUN for the name, DIR-3 for DIN, SPICe for incorporation, then separate applications for PAN, TAN, EPFO, ESIC, and Shops & Establishment. Each had its own login, its own document set, its own waiting time.
SPICe+ merged all of it into one integrated web form on the MCA portal. You fill it once, attach documents once, and the system routes everything — the Certificate of Incorporation now arrives with PAN and TAN already allotted.
Part A: Name Reservation
Part A is the shorter half. You propose two names in order of preference and pay ₹1,000. The MCA checks them against existing company and trademark records.
What makes a name get approved
- Distinctive, not descriptive. "Sharma Trading Company" will likely be rejected; "Sharma Quantum Traders" has a better shot.
- No restricted words without approval — "Bank," "Insurance," "University," "National" all need extra permissions.
- Check trademarks too. The MCA checks the IP India database. A name identical to a registered trademark in a similar class gets flagged.
- Attach a significance note. A one-liner explaining what the name means helps the approving officer.
Approval usually takes 1–3 working days. If both names are rejected, you file Part A again (another ₹1,000). Getting the name right the first time saves real money.
Part B: The Main Filing
Part B is where the actual incorporation happens. It's a long form with these sections:

- Identity proof of directors/shareholders (PAN for Indians, passport for foreign nationals)
- Address proof (Aadhaar, voter ID, driving licence, or bank statement — not older than 2 months)
- Registered office proof (utility bill + NOC from owner, or sale deed)
- MOA and AOA, signed
- INC-9 and DIR-2 for each director
Common Reasons Part B Gets Sent Back
The ROC doesn't reject outright on the first pass — it raises a "resubmission" query. The most common ones:
- Name-object mismatch: the main objects in your MOA don't align with the approved company name.
- Address proof issues: utility bill older than 2 months, or the name on the bill doesn't match the NOC giver.
- DIN problems: a director who already holds a DIN must quote it; applying fresh when one exists causes a flag.
- Capital mismatch: authorised capital in the form doesn't match what's in the MOA.
- Missing attachments: INC-9 or DIR-2 not attached for every director.
You typically get 15 days to resubmit. Two resubmissions are allowed before the application lapses and fees are forfeited.
How Long Does SPICe+ Take?
Part A (name): 1–3 working days. Part B (incorporation): 3–7 working days after filing, assuming no queries. All told, most straightforward incorporations complete in 7–10 working days from a clean document set.
Frequently Asked Questions
Can I file SPICe+ myself?
Yes — it's on the MCA portal and the form is free to access. But every director needs a Class-3 DSC, and the form is unforgiving about small errors. Most founders use a professional for the first incorporation and handle subsequent filings themselves once they've seen the process.
Is SPICe+ the same as AGILE-PRO?
AGILE-PRO was the older linked form for PAN/TAN/EPFO/ESIC. That functionality is now built directly into SPICe+ Part B — there's no separate AGILE form anymore.
What if my name gets rejected twice?
Rework the name properly instead of filing a third time. Check the MCA name database and the trademark registry yourself first. A professional can usually tell in five minutes whether a name will pass.
