Understanding this document
What is notice of egm?
An Extraordinary General Meeting handles shareholder decisions that cannot wait for the AGM — capital increases, name changes, director removals. Section 101 requires at least 21 clear days' written notice with an explanatory statement under Section 102. Get the notice wrong and the resolutions can be challenged.
When do you need it?
Whenever the board needs shareholder approval urgently. Count 21 clear days excluding the date of notice and the meeting date — and add 48 hours if sending by post.
Common mistakes to avoid
- Shorter notice without written consent from 95% of voting members — the meeting is then invalid.
- Missing or thin explanatory statement under Section 102 — resolutions get challenged on this alone.
- Sending notice to an outdated member list — check the register, not last year's spreadsheet.
- No proof of dispatch — keep postal receipts or email logs; "we sent it" is not evidence.
