NBFC Company Registration

An NBFC licence is one of the hardest financial licences in India to get — capital proof, promoter vetting, a business plan that survives RBI's questions. We build the application the way the regulator reads it.

Overview

What NBFC registration actually involves

A Non-Banking Financial Company must be a company registered under the Companies Act, with RBI's Certificate of Registration to commence business.
The minimum net owned fund is currently Rs. 2 crore for most categories — a hard entry requirement.
RBI examines promoters and directors against fit-and-proper criteria and reviews the business plan and projections.
NBFCs are classified by activity — investment and credit, microfinance, factors, infrastructure finance, and others.
Registered NBFCs file periodic returns with RBI and follow prudential norms on capital, asset classification, and governance.

Benefits

Why NBFC promoters work with us

Open each benefit to see what it means for you.

Application built to survive scrutiny

RBI rejects weak NBFC files without much explanation. We stress-test your application before it goes in.

RBI-format business plan

The business plan and projections are the heart of the file — we write them in the format and rigour RBI expects.

Fit-and-proper documentation

Promoter and director backgrounds are examined closely. We vet and document before RBI asks.

Post-registration compliance

Certificate of Registration is the beginning — we set up your returns, board, and compliance calendar.

Documents

What documents are required for NBFC registration with RBI?

Clear, current documents matter more than a long checklist. Names, dates of birth and addresses should match across every record — that's what the authorities check first. Tick what you already have below.

Process

NBFC registration with RBI — step by step

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 7

Incorporate the company with a financial object

An NBFC licence is granted only to a company incorporated under the Companies Act, 2013 with financial business as a principal object. We ensure the MOA is correctly worded before anything else.

Meet the net owned funds threshold

New applicants must meet RBI's minimum net-owned-funds threshold, which was raised from ₹2 crore to ₹10 crore in 2021. The funds must come from clean, documented sources.

Prepare the business plan and promoter dossier

We build a detailed business plan with financial projections and compile promoter profiles, fit-and-proper declarations, and source-of-funds evidence. RBI scrutinises promoter integrity closely.

File the application on RBI's COSMOS portal

The application for a Certificate of Registration under Section 45-IA of the RBI Act, 1934 is filed online through RBI's COSMOS portal with all supporting documents.

Respond to RBI queries and inspections

RBI examines the application, may ask for clarifications, and can conduct due diligence on promoters and the business plan. We handle queries and keep the file moving.

Receive the Certificate of Registration

On satisfaction, RBI issues the Certificate of Registration authorising the company to commence non-banking financial business. The process typically takes 6-12 months for a well-prepared application.

Comply with ongoing NBFC regulations

After licensing, the NBFC must file periodic returns with RBI, maintain capital adequacy, follow fair-practice codes, and meet governance norms applicable to its layer under RBI's scale-based framework.

Only a company can register as an NBFC — not a proprietorship, partnership, or LLP. The minimum net owned fund is currently Rs. 2 crore for most categories.

Typically several months. RBI examines the file in stages and raises queries — a complete, well-argued first filing shortens the process considerably.

The category depends on your business — investment and credit (ICC), microfinance (MFI), factors, infrastructure finance, and others. Each has different norms. We recommend the category after understanding your model.

Promoters and directors must meet RBI's fit-and-proper criteria — financial soundness, integrity, and no regulatory black marks. We vet this before filing.

You can, but the file needs to be strong on systems, business plan, and promoter credibility. We give you an honest assessment of your chances before you commit.

Quote-based, covering the application, business plan, and documentation. Request a quote with your promoter and capital details.

An NBFC cannot accept demand deposits like a bank, and deposit-taking NBFCs face much stricter norms. Most new NBFCs register as non-deposit taking. We structure the application accordingly.

No. Only a company incorporated under the Companies Act (private or public limited) is eligible. LLPs, firms, and proprietorships cannot apply.

RBI treats a company as an NBFC when more than 50% of its total assets are financial assets and more than 50% of its gross income comes from them. We run this test before filing.

Yes, but digital lending has its own RBI guidelines — direct disbursal to borrower accounts, Key Fact Statements, and data-handling rules all apply alongside the license.
