Overview

Section 8 of the Companies Act, 2013 covers the provisions for incorporation of Non-Profit Organizations/Non- Government Organizations (NPO/NGO) that are intended for charitable causes in the fields of education, environment, child welfare, religion, science, sports, research, social welfare and the likes. These organizations function like limited companies, except that the dividends cannot be paid to their members, and the profits, if any, are to be used solely for the purpose of promoting the organization’s objectives.

NGOs are similar in nature to Trusts or Societies, except that they are registered under the Ministry of Corporate Affairs, whereas Trusts/ Societies come under State Government regulations. While Trusts are managed by Trustees as per a Trust Deed, Section-8 companies are managed by a Board of Directors based on their MOA and AOA. A Section-8 company requires at least 2 directors for incorporation, but there is no upper limit on the number of directors.

This, however, has various advantages when it is compared to Trust or Society and it also has higher credibility amongst the donors, Government departments, and other stakeholders. Further, the key feature of this Company is that the name of the Company can be incorporated without using the word “Limited” or “Private Limited” as the case may be.

Like other companies, a Section 8 Company will also have revenue, expenses, profits and losses. However, in a Section 8 Company the profits can be used only for the charitable or not-for-profit purposes mentioned in the MOA, and the company dividends cannot be distributed among the members of the company. Section-8 Companies can be suffixed with words like Association, Foundation, Society, Council, Club, Charities, Institute, Academy, Organization, Federation etc., as per their nature and function.

Define your charitable objects

A Section 8 company must work for objects like commerce, art, science, sports, education, research, social welfare, religion, charity or environmental protection. We help frame your mission so it clearly qualifies — and profits can never be distributed to members.

Get DSCs for the directors

The proposed directors need Digital Signature Certificates to sign the licence and incorporation filings online.

Apply for the Section 8 licence (Form INC-12)

We file Form INC-12 with the ROC, attaching the draft MOA and AOA and a note on proposed activities. The licence is the critical approval — it confirms the government accepts your charitable purpose. There is no minimum capital requirement.

Reserve the company name (SPICe+ Part A)

We propose two preferred names to the MCA via SPICe+ Part A. Words like "Foundation", "Association" or "Trust" work well; the name must not suggest commercial activity.

Incorporate via SPICe+

After the licence is granted, we file SPICe+ with the MCA for incorporation, including DIN allotment and PAN and TAN. The Certificate of Incorporation makes the Section 8 company a legal entity.

Get 12A and 80G registrations

After incorporation, most Section 8 companies apply for 12A (tax exemption on income) and 80G (donor tax deduction) with the Income Tax Department. These make fundraising viable — we handle both applications.
