Overview

Why Indian businesses are setting up in the USA

The USA is still the world's largest consumer market, and a US entity changes how the world sees your business. Dollar revenue. Credibility with global clients. Access to US payment rails and, when the time comes, US investors. I won't pretend it's for everyone — if every customer you have is in India, a US company adds cost without adding much. But if you're selling to the world, America is where the world buys.
Delaware versus Wyoming is the question I get asked most, so here's the honest answer. Delaware costs about $110 to file and a flat $300 every year in franchise tax, due June 1 — but it keeps your members off public records, and it's the state US venture capital expects to see. Wyoming costs about $100 to file and roughly $60 a year in annual reports — the cheapest upkeep of any major formation state. If you're raising VC, Delaware. If you're running a consultancy, an agency, or a lean online business, Wyoming saves you real money every single year. The state is a tool. Pick the one that fits the job.
And the part that surprises most founders: you need none of the things you'd expect. No US citizenship. No residency. No Social Security Number. No trip to America. What you do need is a registered agent with an address in your formation state, and an EIN — your company's US tax ID — from the IRS. We arrange both. The whole thing happens over email and a few signatures.

Benefits

Why set up here

Open each benefit to see what it means for you.

No US visa, address, or partner needed — you can own 100% of a US company from your desk in India. No citizenship requirement, no residency requirement, no Social Security Number.

Delaware is the language US investors speak — if you ever raise from American VCs, a Delaware C-Corp with its Court of Chancery is the structure they expect. Setting it up now means no painful restructuring later.

Wyoming keeps costs genuinely low — about $100 to file and roughly $60 a year in upkeep. For a services business, that's less than a nice dinner per year to maintain a US entity.

Dollar revenue and global credibility — US clients pay US companies faster and with fewer questions. A US entity also unlocks Stripe, US payment rails, and marketplaces that are awkward to access from an Indian entity alone.

One less filing than last year — FinCEN permanently ended beneficial ownership (BOI) reporting for US-formed companies in August 2026. That's one federal filing you no longer need to think about.

Process

How the process works

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 7

Choose your state and entity

Delaware or Wyoming, LLC or C-Corp. This is the decision everything else hangs on. Raising US venture capital? Delaware C-Corp. Running a consultancy or agency? Wyoming LLC. We give you a straight recommendation based on what you're actually building, not a one-size menu.

Reserve your company name

We check name availability with the Secretary of State and reserve your pick. Takes a day, costs very little, and stops you falling in love with a name someone else owns.

Appoint your registered agent

US law requires a real person or company with a physical address in your formation state to receive legal mail. You can't use your Indian address. We set up a professional registered agent before anything is filed.

File the Articles and get your certificate

We file the Articles of Organization or Incorporation with the state. Delaware and Wyoming both turn this around in days, and you get a stamped certificate proving your company exists.

Get your EIN from the IRS

This is your company's US tax ID, and nothing else works without it — no bank account, no Stripe, no tax filings. Foreign founders file Form SS-4 by fax or phone since the online tool needs a US Social Security Number. It typically takes one to two weeks.

Open your US bank account

The step that needs patience. US banks run strict checks on foreign-owned companies, and the paperwork has to tell one consistent story across every document. We assemble the full package — formation certificate, EIN letter, operating agreement — and guide you to banks that actually onboard foreign founders.

Stay compliant from day one

Two calendars run in parallel. In the US: annual reports, franchise tax, and Form 5472 with the IRS every April (miss that one and the penalty starts at $25,000 — it's the filing foreign owners most often learn about too late). In India: FEMA ODI filings for your overseas investment. We track both.

No. No travel, no visa, no US address of your own. Everything is filed remotely, and your registered agent provides the in-state address the law requires. You sign; we file.

The EIN — Employer Identification Number — is your company's US tax ID, issued by the IRS. You need it to open a bank account and to file US taxes. We handle the application for foreign founders as part of the setup, and it normally arrives within the standard one-to-two-week timeline.

This is the step that needs the most patience. US banks run strict onboarding for foreign-owned companies, and the paperwork has to tell one consistent story. We prepare your formation documents, EIN, and operating agreement properly and guide you through the banks that work with foreign founders. No honest advisor will tell you this part is instant.

The US-India tax treaty (DTAA) exists precisely to prevent the same income being taxed twice — but your actual liability depends on where the company is treated as tax-resident and how profits flow back to India. Sort this out with proper advice before the first invoice, not after.

Raising US venture capital? Delaware C-Corp, no debate. Running a consultancy, agency, or lean online business? Wyoming LLC — compare $300 a year in Delaware franchise tax against roughly $60 a year in Wyoming, every year, for the life of the company. Match the state to the plan.
Nothing matches that search. Try a shorter word, or choose “All questions”.
