Overview

Why Indian businesses are choosing the UK

The UK is the credibility shortcut. A Ltd on your invoice opens doors with American and European clients that an Indian entity sometimes has to push harder to open. The legal system is common law, so it feels familiar — your Indian CA will read a UK shareholders' agreement without breaking a sweat. And the UK-India DTAA means your profits aren't taxed twice across the two countries.
Formation itself is almost startlingly simple. One director. One shareholder. They can be the same person, sitting in Mumbai or Bengaluru. Share capital can be £1. The Companies House digital fee is £100, and online incorporation typically completes within 24 hours. I have seen founders finish their morning chai and have a UK company by the next morning.
The step newcomers miss is identity verification. Since November 2025, every new director must verify their identity before Companies House accepts the filing — either directly with Companies House or through an Authorised Corporate Service Provider. Think of it as the bouncer at the door: no verified ID, no entry, no matter how perfect the rest of your paperwork is. Overseas founders without UK biometric documents almost always verify through an ACSP, and we arrange that before anything is filed so the 24-hour clock isn't wasted.

Benefits

Why set up here

Open each benefit to see what it means for you.

Incorporated in about 24 hours — the Companies House digital filing is one of the fastest in the world. One director, one shareholder, £1 capital, £100 fee. No other major economy makes it this simple.

No UK residency or nationality requirement — you can own and direct 100% of the company from India. The only UK footprint you need is the registered office address, which we provide.

Instant credibility with Western clients — a Ltd on your invoice carries weight with American and European buyers. The common-law legal system also feels familiar — your Indian CA will read UK company law without a translator.

The UK-India tax treaty works in your favour — corporation tax is 19% on profits up to £50,000, and the double tax agreement means the same profit isn't taxed in both countries. Structure it right from the start and the tax story is clean.

A launchpad, not just a company — London's banking, legal, and investor ecosystem is built for international business. Many Indian founders use the UK entity as their global holding structure while operating across multiple markets.

Process

How the process works

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 7

Verify your identity first

This is the gate everything passes through now. Since November 2025, Companies House won't accept an incorporation with an unverified director. We run your verification through an Authorised Corporate Service Provider using your Indian passport, and you get a personal Companies House code. Do this before anything else.

Choose your structure and name

Private limited company (Ltd) suits almost every Indian business expanding to the UK. One director, one shareholder, £1 share capital. We check your preferred names against the register and confirm the structure fits your plans.

Set your registered office

You need a genuine UK address where legal documents can be delivered. We provide the registered office service and make sure it meets the compliance rules — this address goes on the public register, so it matters which one you pick.

Draft the Articles and PSC details

We prepare your Articles of Association and map out exactly who counts as a Person with Significant Control. If you own more than 25%, that's you — and your PSC identity verification has to be in place too.

File with Companies House

The digital filing goes in with everything attached: verified director, verified PSC, registered office, articles, share structure. The £100 fee is paid, and the certificate of incorporation typically arrives within 24 hours.

Open your UK bank account

The hardest step, honestly. High-street banks usually want a UK footprint and often an in-person visit. Most Indian founders start with a digital business account and graduate to a high-street bank once there's UK trading history. We prepare the full document set and guide you to the right starting point.

Stay compliant from month one

A UK company files a confirmation statement every year, keeps statutory registers, and files accounts with Companies House. Meanwhile in India, your ODI investment needs its own FEMA filings. We run both calendars so neither side slips.

No. There is no residency or nationality requirement for directors or shareholders of a UK company. One director and one shareholder is enough, and they can be the same person sitting in India. What the company must have is a UK registered office address — a real address where documents can be delivered, not a PO box. A service provider supplies this.

Since November 2025, every new director must verify their identity before Companies House will accept the incorporation — either directly with Companies House or through an Authorised Corporate Service Provider. Overseas founders without UK biometric documents almost always verify through an ACSP. We arrange verification before filing, so it never becomes the reason your timeline slips.

This is the hardest part of the whole exercise, and I won't pretend otherwise. Traditional high-street banks usually want a UK footprint and often an in-person visit. Most Indian founders start with a digital business account and move to a high-street bank once there is UK trading history. Plan the banking before you need it, not after.

Corporation tax is 19% on profits up to £50,000 and 25% above £250,000, with marginal relief in between. VAT registration becomes compulsory once UK taxable turnover passes £90,000 in a rolling 12-month period. The UK-India DTAA prevents the same profit being taxed in both countries — but get advice on where you are actually tax-resident before assuming anything.

Online incorporation typically completes within 24 hours of filing. The part that takes time is the preparation: identity verification, choosing the right entity, and sorting the registered office. Budget a week end to end and you will rarely be disappointed.
Nothing matches that search. Try a shorter word, or choose “All questions”.
