Understanding this document

What is partnership deed?

A partnership deed is the written agreement between partners under the Indian Partnership Act, 1932. It fixes capital contributions, profit-sharing ratios, duties, decision-making, and what happens when a partner wants out or passes away. An oral understanding between friends is how most partnership disputes begin.

When do you need it?

Before the firm starts operating — and before money moves. Registering the deed with the Registrar of Firms is optional but powerful: an unregistered firm cannot sue to enforce its contractual rights (Section 69).

Common mistakes to avoid

  • Profit-sharing ratio copied from capital ratio without thinking — the working partner usually deserves more.
  • No clause on retirement, death, or expulsion — the firm dissolves into an argument instead.
  • Leaving the deed unregistered, then discovering you cannot file a suit when a client does not pay.
  • Interest on capital and remuneration to working partners not specified — the tax treatment then gets messy.
