Understanding this document
What is lease deed - commercial property?
A commercial lease deed is the registered agreement for office, retail, or industrial space. Unlike residential rent agreements, these run for years, carry fit-out investments, and turn on clauses like lock-in, escalation, and termination — the three clauses most disputes are about.
When do you need it?
Before taking possession or paying fit-out money. For any lease beyond 11 months, registration is mandatory — an unregistered long lease is inadmissible as evidence of the lease terms.
Common mistakes to avoid
- An 11-month "renewable" arrangement used to dodge registration for a 5-year stay — courts see through it.
- No clarity on who bears maintenance, property tax, and GST on rent.
- Lock-in without a matching termination right — you are stuck, the landlord is not.
- Forgetting TDS under Section 194-I on rent above ₹50,000 per month (₹2.4 lakh/year threshold).
