Understanding this document
What is auditor resignation letter?
When a statutory auditor steps down, Section 140(2) requires them to file ADT-3 with the ROC within 30 days, stating reasons. This is that resignation — and the reasons section is read very carefully by the next auditor and, sometimes, the ROC.
When do you need it?
The day the auditor decides to resign. The 30-day ADT-3 clock starts from the resignation date, not from when the company finds a replacement.
Common mistakes to avoid
- Vague reasons in ADT-3 — if there was a fraud-reporting situation under Section 143(12), vagueness invites scrutiny.
- Filing ADT-3 late — it is the auditor's personal compliance, not the company's.
- The company not filling the casual vacancy within 3 months (board) or treating it casually.
Need it tailored to your company?
