Understanding this document
What is partnership resignation letter format?
A partner cannot simply walk away — under Section 32 of the Partnership Act, a retiring partner stays liable for firm acts done before retirement unless public notice is given. This letter starts the formal exit: notice to the firm, settlement of accounts, and the paper trail for that public notice.
When do you need it?
As per the partnership deed's notice requirement (commonly 3–6 months). Give public notice of retirement promptly — newspaper advertisement and intimation to the Registrar of Firms — or liability follows you out the door.
Common mistakes to avoid
- No public notice after retirement — you remain liable for the firm's later acts.
- Accounts unsettled at exit — capital, profits, and drawings should be reconciled in writing.
- Not informing banks and creditors — the firm's lenders will keep treating you as a partner.
- Ignoring the deed's own retirement procedure and notice period.
