Overview

What the FLA return is

FLA (Foreign Liabilities and Assets) is an annual return filed with the Reserve Bank of India by companies with foreign direct investment or overseas direct investment.
It covers both sides: foreign liabilities (FDI into your company) and foreign assets (your investments abroad).
The return is due by 15 July each year, based on your audited position as of 31 March.
Filing happens on RBI's FLAIR portal. Even companies with no change from last year must file - it is annual, not event-based.

Benefits

Why companies file FLA through us

Open each benefit to see what it means for you.

Both directions covered

FDI inwards and ODI outwards both feed the FLA. We reconcile your FC-GPR filings, your overseas investment reports, and your balance sheet into one consistent return.

Audited figures matched

FLA is filed on audited numbers as of 31 March. We work from your final audited financials so the return ties to your books.

FLAIR portal handled

Entity registration, business user setup, form validation - the portal has its own workflow. We run it for you.

Year-on-year consistency

RBI compares your FLA across years. We keep prior-year filings on file so this year's return reconciles with last year's.

Documents

Documents you will usually need

Clear, current documents matter more than a long checklist. Names, dates of birth and addresses should match across records.

0 documents marked ready Tick what you already have. This checklist resets when you leave the page.

Process

How we handle your FLA filing

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 4

Position compiled

We take your audited financials and extract the foreign investment position - equity, reinvested earnings, other capital.

Both sides reconciled

Inward FDI and outward ODI are reconciled against your FC-GPR and ODI filings so nothing contradicts.

FLAIR filing

The return is prepared and filed on RBI's FLAIR portal, with validations cleared.

Acknowledged

You get the filing acknowledgement and a summary tying the return to your audited books.

02

We start in April, not July

FLA needs audited numbers. We begin compilation as your audit closes, so the 15 July deadline is never a scramble.

03

HQ-friendly summaries

Foreign parent companies get a short summary of what was reported and why - useful for their own group reporting.

Cross-border is our home ground: FLA, FC-GPR, ODI filings, FEMA advisory - we do the full cross-border compliance stack, so your FLA never contradicts your other filings.

If a founder or investor is outside India

Foreign ownership is possible in many sectors, but it adds document authentication, banking and FEMA work. Set the route before funds move.

Plan before you start

  • Check whether your sector permits automatic-route foreign investment
  • Confirm the Indian resident director arrangement
  • Map ownership, beneficial ownership and pricing
  • Allow time for apostilled or consularised documents

Plan for after setup

  • Receive funds through permitted banking channels
  • Complete RBI/FEMA reporting and keep the bank evidence
  • Coordinate tax and ongoing compliance advice early

Any Indian company that has received FDI or made overseas direct investment - including LLPs in some cases. If foreign money is anywhere in your capital structure, assume you file.
15 July each year, based on the audited position as of 31 March. RBI has extended this date in some years, but plan for 15 July.
Yes. The FLA is annual regardless of whether anything changed. Nil-change years still get filed.
RBI treats non-filing seriously - it can affect future FDI approvals and FEMA compliance standing. Late filing with an explanation is far better than skipping it.
No. FC-GPR reports each individual share allotment to a foreign investor (event-based, 30 days). FLA is the annual consolidated position (due 15 July). Both are required.
Yes - the return is based on audited figures as of 31 March. If your audit runs late, tell us early so we can plan the filing.
RBI's online portal for foreign investment reporting. Your entity needs to be registered on it with an authorised business user - we set this up if it isn't done.
LLPs that received foreign investment are also covered. We confirm your entity's position and file accordingly.
