We have received share subscription money but done nothing else. File now?

The subscriber's details, the shares taken, and proof that the subscription money reached the company's bank account.
Process
INC-20A Filing process — step by step
You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.
What is INC-20A and who must file it?
INC-20A is a declaration filed with the ROC confirming that the subscribers to the memorandum have paid for the shares they agreed to take. It applies to companies having share capital, and it must be filed within 180 days of incorporation.
Why it matters
A company cannot commence business or borrow money until INC-20A is filed. Miss the 180-day deadline and additional fees apply — and non-filing can eventually lead to the ROC striking off the company's name. This is not a form to postpone.
Ensure subscription money is in the bank
First, we confirm that every subscriber has actually paid for their shares and the money is credited to the company's bank account — the bank statement is the key evidence.
Prepare the declaration and get it verified
We draft the directors' declaration, attach the bank statement, and get the form certified by a practising professional as the MCA requires.
File the e-form with the ROC
We file INC-20A on the MCA portal, digitally signed by a director, within the 180-day window. Once approved, the company is free to commence business and borrow.
