Overview
A One Person Company is the solo founder's version of the private limited company: one member, limited liability, a separate legal identity, and a nominee standing behind the structure in case something happens to the founder. In Maharashtra the incorporation runs on the same SPICe+ system as any company, and the state layer is the one this page covers — Maharashtra stamp duty on the MOA and AOA, the state's four-ROC map after the 2026 restructure, and Maharashtra professional tax and Shops & Establishment registration for a company of one.
The Maharashtra numbers are friendly at OPC scale: stamp duty at ₹1 lakh of authorised capital comes to about ₹1,400 (₹1,000 on the Memorandum, 0.3% of capital on the Articles), and MCA fees are nil. What decides your experience is not the filing — it is choosing the nominee well and knowing, from day one, which ROC your district reports to and what the state expects in the first year.
The national OPC rules are covered on our One Person Company registration page. This page is the Maharashtra layer: costs in rupees, the ROC map, and the state registrations that follow a Maharashtra OPC around.
Is an OPC right for you?
An OPC fits if: you are the only founder and expect to stay that way for now; your customers or platforms ask for a CIN; you want business risk separated from personal assets; or you are converting a growing proprietorship into something with continuity.
Look at a private limited company instead if: a co-founder is joining, outside investment is planned, or you want ESOPs — an OPC cannot issue shares to anyone else. Conversion is painless later, but if the investor conversation is already live, start with the structure they will fund: our Maharashtra private limited company page covers that route.
What changed in 2021 — no forced conversion
The Companies (Incorporation) Second Amendment Rules, 2021 quietly fixed the OPC's biggest flaw. Before April 2021, an OPC that crossed ₹50 lakh of paid-up capital or ₹2 crore of turnover was forced to convert into a private or public company. That trigger is gone: an OPC can now grow to any size and convert only when its founder chooses — when a co-founder arrives, an investor asks, or the founder simply wants a second shareholder. The same amendment opened OPCs to Indian citizens living abroad and cut the residency test for "resident in India" to 120 days in the preceding financial year.
Documents required
For the member-director: PAN card, Aadhaar card, passport-size photograph, and address proof (bank statement or utility bill, not older than 2 months). For the nominee: PAN, Aadhaar, photograph and the signed consent in Form INC-3. For the registered office in Maharashtra: a utility bill for the premises not older than 2 months, a no-objection certificate from the owner, and the rent agreement if the premises are rented. A home address works — the owner's NOC is the part founders forget.
The registration process — step by step
Step 1: DSC and name
The sole director takes a Class-3 Digital Signature Certificate, and two name options are filed in SPICe+ Part A (or RUN). The name ends with "(OPC) Private Limited".
Step 2: Nominee consent and MOA/AOA
The nominee's consent (INC-3) is obtained, and the MOA and AOA are drafted — the AOA of an OPC carries the nominee provisions that make the structure work.
Step 3: SPICe+ with AGILE-PRO-S
The incorporation filing goes in with DIN, PAN, TAN, EPFO and ESIC registration, and — Maharashtra being an integrated state — the professional tax enrolment application. Maharashtra stamp duty is computed by the system (₹1,000 MOA plus 0.3% of capital on the AOA) and paid with the filing.
Step 4: Certificate and the first 180 days
The Certificate of Incorporation arrives with the CIN. Then: open the bank account, appoint the auditor (ADT-1), issue the share certificate to yourself as member, and file INC-20A within 180 days of depositing the paid-up capital.
Maharashtra stamp duty and the ROC map
Maharashtra charges ₹1,000 flat on the Memorandum (Maharashtra Stamp Act, Article 39(a)) and 0.3% of authorised capital on the Articles (Article 10, a rate raised in October 2024, capped at ₹1 crore). At the ₹1 lakh capital most OPCs choose, that is ₹1,300 of duty plus the SPICe+ form fee — about ₹1,400 in stamp costs, computed and collected inside the form.
Since 16 February 2026 (MCA notification S.O. 4850(E)), Maharashtra has four ROCs, assigned by your registered office district: ROC Mumbai-I (Mumbai and Mumbai Suburban), ROC Mumbai-II at Navi Mumbai (Thane, Palghar, Raigad, Nashik, Dhule, Jalgaon, Nandurbar, Chhatrapati Sambhajinagar), ROC Pune (Pune, Ahmednagar, Kolhapur, Satara, Sangli, Solapur, Ratnagiri, Sindhudurg) and ROC Nagpur (the remaining 18 districts). Your OPC's annual filings and correspondence route to that office; incorporation itself is examined centrally by the CRC.

Because the AOA duty is a percentage in Maharashtra, a ₹10 lakh authorised capital costs ₹3,000 in AOA duty instead of ₹300 — one more reason most OPCs start at ₹1 lakh and increase capital only when the business asks for it.
Professional tax and Shops Act for a one-person company
Professional tax. Maharashtra enrolment (PTEC, ₹2,500 a year) applies to the company; PTRC and salary deductions (up to ₹200 a month) begin once salaries are paid — including a salary to yourself as director. Maharashtra is integrated into AGILE-PRO-S, so the application can be filed with the incorporation. Shops & Establishment. Under the Maharashtra Shops and Establishments Act, 2017, a one-person establishment files the online intimation of commencement (registration applies at 10+ workers) — banks still ask for it when the OPC opens its current account, solo or not.
What happens after incorporation
Open the current account and deposit the paid-up capital; file INC-20A within 180 days.
Appoint the statutory auditor and file ADT-1 — audit is compulsory even for an OPC.
No AGM is required; record resolutions in the minutes book and file the annual return (MGT-7A) and financials (AOC-4) on the OPC timelines.
Tax note: an OPC is taxed as a company and can opt for the 22% regime under Section 115BAA — for many solo founders this is the point where the OPC clearly beats a proprietorship on tax.
Keep the nominee informed and the INC-3 on file; review the choice once a year like you would a will.

You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.
The government side is small: MCA fees are nil up to ₹15 lakh of authorised capital, and Maharashtra stamp duty at ₹1 lakh capital is about ₹1,400 — ₹1,000 flat on the Memorandum plus 0.3% of capital on the Articles (₹300), with the SPICe+ form fee. Add a DSC (₹1,500–₹2,500 market price). Our professional packages for a Maharashtra OPC start at ₹6,999 (Starter), with Growth at ₹10,999 and Scale at ₹16,999 — the packages on this page show exactly what each tier carries.
The same four-office map as any Maharashtra company, fixed by your registered office district: ROC Mumbai-I for Mumbai and Mumbai Suburban, ROC Mumbai-II at Navi Mumbai for Thane, Palghar, Raigad, Nashik and neighbouring districts, ROC Pune for the Pune belt, and ROC Nagpur for the remaining 18 districts. The split took effect on 16 February 2026; your incorporation is examined by the central CRC either way.
Yes — the nominee is a legal requirement, not an optional extra. You name one person (with their written consent in Form INC-3) who becomes the member if you die or become incapable of contracting. The nominee holds no rights while you are active, cannot be a nominee in more than one OPC, and can be changed later by filing. Pick someone you trust and tell them — a surprised nominee is a common family problem.
An Indian citizen who is an NRI can — since the Companies (Incorporation) Second Amendment Rules, 2021, the member must be an Indian citizen, and citizenship rather than residence is the test (the resident-in-India definition now uses 120 days in the preceding financial year). A foreign citizen cannot be the member of an OPC; the route for foreign founders is a private limited company, which our foreigners' registration page covers.
The company takes PTEC enrolment (₹2,500 a year). Once you draw a salary from the OPC or hire staff, PTRC applies and professional tax is deducted from salaries — ₹200 a month at the top slab. Maharashtra is integrated into AGILE-PRO-S, so the professional tax application can ride along with the incorporation filing instead of becoming a separate errand.
Yes, at any time, voluntarily — the 2021 amendment removed the old forced-conversion triggers (₹50 lakh paid-up capital / ₹2 crore turnover) and with them the waiting period logic. Conversion is a filing (INC-6) with altered MOA/AOA and the nominee's consent where required. Many founders start as an OPC and convert when a co-founder or investor comes in.
Audit, yes — a statutory auditor must be appointed and the financial statements audited every year, like any company. AGM, no — a One Person Company is exempt from holding an annual general meeting; the annual return and financial statements follow relaxed timelines and the resolutions are recorded in the minutes book. That split — real audit, no meeting theatre — is much of the OPC's appeal.
