Overview
Maharashtra is where Indian business registers when it means business — Mumbai's finance and media economy, Pune's technology and manufacturing belt, and a long tail of industrial towns from Nagpur to Kolhapur. The incorporation itself runs on the same national SPICe+ system as everywhere else in India. What makes a registration "Maharashtra" is the registered office address: it decides your stamp duty on the MOA and AOA, which of the state's Registrars of Companies your company reports to, and the state registrations — professional tax and Shops & Establishment — that follow.
Two Maharashtra specifics catch founders out. First, stamp duty: the Memorandum carries a flat ₹1,000, and the Articles are charged at 0.3% of authorised capital — a rate raised in October 2024 — so your capital choice directly moves the government cost. Second, the ROC map changed in February 2026: Maharashtra now has four ROCs, and Mumbai itself is split between ROC Mumbai-I and ROC Mumbai-II at Navi Mumbai. Neither changes how you file — the Central Registration Centre still examines every incorporation — but both change what you should know before you file.
You are starting with co-founders and need a clean way to split ownership, vesting and decision rights.
You plan to raise investment — angels, venture capital and bank lenders all work most easily with the private limited structure.
You want limited liability: business debts stay with the company, not with your personal assets.
You are hiring employees and want ESOPs, a professional brand and contracts in the company's name.
Your business will deal with enterprises, government tenders or marketplaces that ask for a CIN.
Consider alternatives if:
You are a solo founder with no plans to take co-founders — a One Person Company gives you the same limited liability with lighter compliance.
You are a professional firm (CA, CS, consultants) that wants internal flexibility — an LLP may suit better.
You are testing an idea with minimal revenue — a proprietorship or partnership is cheaper until the business proves itself.
Your activity is charitable — a Section 8 company is the correct vehicle, not a private limited company.
What must be decided before filing
People: You need at least 2 directors (individuals, at least one resident in India — 182+ days in India during the previous calendar year) and at least 2 shareholders (members). Directors and shareholders can be the same people. Foreign nationals can be both, with attested documents. Decide who holds how many shares now — re-splitting equity later means stamp duty, filings and sometimes disputes.
Decisions: The company name (ending in "Private Limited"), the authorised and paid-up share capital, the main business objects (what the company will actually do — this goes into the MOA and is harder to change later than founders expect), and the registered office address in Maharashtra.
Documents: PAN and Aadhaar for Indian directors and shareholders, photographs, address proof, and proof for the registered office (a utility bill not older than two months, plus a no-objection certificate from the owner if the premises are rented or belong to someone else). Foreign directors need a passport and attested KYC — the documents section below lists everything.
Advantages of a private limited company
Separate legal entity
The company is a person in law, distinct from its founders. It owns assets, signs contracts, borrows and sues in its own name.
Limited liability
A shareholder's exposure stops at the amount unpaid on their shares. A bad year for the company does not put personal savings or the family home on the line — fraud and personal guarantees are the exceptions, as they should be.
Perpetual existence
The company continues regardless of changes in directors or shareholders. Ownership moves; the entity, its contracts and its bank relationships stay.
Fundraising and ESOPs
Shares can be issued to investors, and ESOPs let you pay early employees partly in ownership. Neither works cleanly in a proprietorship or partnership.
Credibility
A CIN is publicly verifiable on the MCA portal. Enterprise customers, marketplaces and tender committees check it — and a registered company clears that first filter without a conversation.
Easy transfer of shares
Ownership changes hands by transferring shares, subject to the Articles. Exits, investor entry and family succession are all simpler than restructuring a firm.
Documents required
For every director and shareholder (Indian):
PAN card — mandatory for Indian nationals
Aadhaar card
Passport-size photograph (recent)
Address proof — bank statement or a utility bill, not older than 2 months
For foreign directors and shareholders: passport (mandatory), plus address proof from the home country. Documents issued outside India need apostille or consular attestation, and an English translation where the original is in another language.
For the registered office in Maharashtra:
Utility bill for the premises, not older than 2 months
Rent agreement or lease deed if the premises are rented
No-objection certificate from the property owner
Sale deed or property papers if the premises are owned
The registered office does not have to be a commercial office — a home address works, as long as the owner consents and the address can receive MCA correspondence.
The SPICe+ process — step by step
Step 1: Check eligibility and structure
Confirm the directors, shareholding split, capital and registered office. Two minutes of care here prevents the most common resubmissions later.
Step 2: Get DSCs for the directors
Every director needs a Class-3 Digital Signature Certificate. It is issued online against PAN and Aadhaar, usually the same day.
Step 3: Reserve the company name (SPICe+ Part A)
Two name options are filed. The CRC checks them against existing companies, trademarks and the name-availability rules. A descriptive, distinctive name clears far more often than a generic one.
Step 4: Draft the MOA and AOA
The Memorandum states what the company will do; the Articles state how it will be run internally. Both are prepared in the electronic e-MOA/e-AOA formats for most companies.
Step 5: File SPICe+ Part B with AGILE-PRO-S
The incorporation application goes in with the DIN applications, PAN and TAN applications, EPFO and ESIC registration, and — where you opt in — GST (GSTIN), professional tax registration for the states the form covers, and a bank account opening. Stamp duty on the MOA and AOA is computed by the system on Maharashtra's schedule and paid with the filing.
Step 6: CRC examination
The Central Registration Centre examines the filing. If anything is unclear, it issues a resubmission note instead of rejecting — most resubmissions are about name similarity, address proof quality or object clauses.
Step 7: Receive the Certificate of Incorporation
The CoI arrives by email with the CIN, company PAN and TAN. This is the company's birth certificate — banks and marketplaces will ask for it constantly.
Step 8: Complete post-incorporation compliance
First board meeting, auditor appointment (ADT-1), share certificates, statutory registers, and the INC-20A commencement declaration within 180 days after the share capital is deposited in the company bank account. Skipping INC-20A is the single most common — and most avoidable — early penalty.
The Maharashtra ROCs — four offices after the 2026 restructure
Until February 2026, Maharashtra founders mostly dealt with ROC Mumbai or ROC Pune. MCA notification S.O. 4850(E) dated 23 October 2025, effective 16 February 2026, redrew the map. Maharashtra now has four Registrars of Companies:
ROC Mumbai-I (seated in Mumbai) — Mumbai and Mumbai Suburban districts only.
ROC Mumbai-II (seated in Navi Mumbai) — Thane, Palghar, Raigad, Nashik, Dhule, Jalgaon, Nandurbar and Chhatrapati Sambhajinagar (Aurangabad).
ROC Pune — Pune, Ahmednagar, Kolhapur, Satara, Sangli, Solapur, Ratnagiri and Sindhudurg. Pune's district list was not changed by the 2026 notification.
ROC Nagpur — the remaining 18 districts of Vidarbha and Marathwada, including Nagpur, Amravati, Akola, Chandrapur, Nanded, Latur and Yavatmal.
Your incorporation is still examined centrally by the CRC in Delhi — the ROC is assigned from your registered office district and matters afterwards: annual filings, inspections, adjudication of penalties and most follow-up correspondence route to your ROC. Companies in districts outside Mumbai and Mumbai Suburban also moved to the new Regional Director, Western Region-II at Navi Mumbai for appeals and approvals.
Your CIN — what the 21 characters mean
Your Certificate of Incorporation carries a 21-character Corporate Identity Number. In a number shaped like U72900MH2026PTC123456: the first letter marks listing status (U = unlisted), the next five digits are the industry activity code, MH is the Maharashtra state code, 2026 is the incorporation year, PTC marks a private limited company, and the last six digits are the registration number issued by the ROC. Banks, marketplaces and customers can verify the CIN free on the MCA portal — it is the quickest trust check a new company gets.

Fees and costs
Three cost blocks make up a Maharashtra incorporation: MCA fees, Maharashtra stamp duty, and professional fees. The honest numbers:
Cost head
Amount
Notes
MCA filing fee (SPICe+)
Nil up to ₹15 lakh authorised capital
Fee slabs apply above that; name reservation is included in SPICe+ Part A
Stamp duty — Memorandum (MOA)
₹1,000 flat
Maharashtra Stamp Act, Article 39(a)
Stamp duty — Articles (AOA)
0.3% of authorised capital, max ₹1 crore
Maharashtra Stamp Act, Article 10; rate raised from 0.2% in October 2024
Stamp duty at ₹1 lakh authorised capital
₹1,300 (plus the SPICe+ form fee of about ₹100)
₹1,000 MOA + ₹300 AOA — expect roughly ₹1,400 in stamp costs in total
DSC for directors
₹1,500–₹2,500 per director
Class-3, two-year validity, market price
ComplyKart professional fee
From ₹8,499 (Starter)
Growth ₹12,999, Scale ₹19,999 — see the packages on this page
SPICe+ itself computes the Maharashtra stamp duty from the authorised capital you declare and collects it with the filing — there is no separate stamp paper purchase for a routine online incorporation. Because the AOA duty is a percentage here, choosing ₹10 lakh of authorised capital instead of ₹1 lakh costs you ₹2,700 more in duty today. Capital can be increased later; most early-stage companies start lean and raise it when they actually need to.
How ComplyKart helps
We handle the entire filing: DSCs, name reservation, MOA/AOA drafting, SPICe+ and AGILE-PRO-S, stamp duty computation for Maharashtra, and the post-incorporation pack (first board meeting minutes, auditor appointment support, INC-20A). One fixed fee quoted in writing before we start, a named consultant on your file, and updates at every stage — name approved, filed, resubmission if any, certificate issued. If the CRC raises a query, we answer it; you do not learn MCA procedure the hard way.
What happens after incorporation
Bank account: Open the current account (AGILE-PRO-S can start this with a partner bank) and deposit the paid-up capital.
INC-20A: File the commencement of business declaration within 180 days of incorporation, after the capital is in the bank.
Auditor: Appoint the first auditor within 30 days (board) and file ADT-1.
Registers and certificates: Issue share certificates within 60 days of incorporation; maintain the statutory registers from day one.
GST: Register if your turnover or business model requires it (inter-state supply, marketplaces, or crossing the threshold).
State registrations: Professional tax and Shops & Establishment registration for Maharashtra — covered in the local layer section below.
Recurring compliance
Annual general meeting every year; board meetings at least four times a year (120-day maximum gap) — small companies get a relaxed two-meeting rule.
Annual filing: AOC-4 (financial statements) and MGT-7/7A (annual return) with the ROC.
Income tax return every year, plus TDS and GST returns as applicable.
Director KYC (DIR-3 KYC) every year for every DIN holder.
MSME Form I (if applicable), BEN-2 for significant beneficial owners, and DPT-3 every June.
None of this is difficult when it is calendared from the start. Every ComplyKart incorporation includes a first-year compliance checklist with your dates on it.
Maharashtra's own layer — professional tax, Shops Act and MAITRI
Professional tax. Maharashtra levies professional tax on salaries. Your company needs a PTRC (Professional Tax Registration Certificate) as an employer and a PTEC (enrolment) for the company itself — the PTEC runs ₹2,500 a year, and employee deductions top out at ₹200 a month. Maharashtra is one of the states integrated into AGILE-PRO-S, so the professional tax registration application rides along with your SPICe+ filing instead of becoming a separate errand.
Shops & Establishment. Under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, every business place in the state must be on the register: establishments with 10 or more workers complete a registration, smaller ones file an intimation of commencement. It is done online, and banks, marketplaces and enterprise clients routinely ask for the certificate.
Single window. Maharashtra routes state approvals through the MAITRI single window. For a private limited company the post-incorporation state touchpoints are few — professional tax, Shops & Establishment, and industry-specific licences if your sector needs them (FSSAI for food, factory licence for manufacturing, trade licence from the municipal corporation).
If a founder is outside India
Foreign nationals and NRIs can hold shares and directorships in an Indian private limited company, subject to the FDI rules for the sector. The practical differences are paperwork, not permission: passport and overseas address proof need apostille or consular attestation, the DSC application uses the passport as identity proof, and at least one director must be resident in India. The foreign investment must come through proper banking channels, and FC-GPR reporting follows within 30 days of share allotment. If this is your situation, our company registration in India for foreigners page walks through the FEMA side in detail.

If two or more founders, outside investment or enterprise customers are anywhere in your plan, the private limited company is usually worth its extra compliance. If you are alone, look at the OPC; if you are a professional practice sharing profits without outside equity, the LLP deserves a serious look.
Registering in another state instead?
The SPICe+ process is national, but stamp duty, the ROC map and professional tax are not. If your registered office will actually sit elsewhere, see how the numbers change for private limited company registration in Karnataka and private limited company registration in Gujarat — and register where the office genuinely is, because shifting states later is a formal ROC process, not a change of address.

You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.
At the most common starting point — ₹1 lakh authorised capital — the duty is ₹1,300: ₹1,000 flat on the Memorandum (Maharashtra Stamp Act, Article 39(a)) plus 0.3% of authorised capital on the Articles (Article 10), which works out to ₹300. SPICe+ adds a small form fee (about ₹100) and computes and collects the whole amount with the filing — you do not buy separate stamp paper.
It depends on your registered office district. Mumbai and Mumbai Suburban report to ROC Mumbai-I; Thane, Palghar, Raigad, Nashik and neighbouring districts to ROC Mumbai-II at Navi Mumbai; the Pune belt to ROC Pune; and the remaining 18 districts to ROC Nagpur. This four-office map took effect on 16 February 2026 under MCA notification S.O. 4850(E). Your incorporation is examined by the central CRC either way — the ROC matters for filings and correspondence after that.
Yes. The company takes a PTEC enrolment (₹2,500 a year) and a PTRC to deduct professional tax from salaries — ₹200 a month at the top slab. Maharashtra is integrated with AGILE-PRO-S, so the registration application can be filed along with your incorporation instead of separately.
Every business place in Maharashtra has to be covered under the Maharashtra Shops and Establishments Act, 2017: establishments with 10 or more workers take a registration, and smaller establishments file an intimation of commencement. The process is online, and the certificate is one of the first documents banks and marketplaces ask a new company for.
Yes. A residential address works as the registered office if the owner gives a no-objection certificate and you have a recent utility bill for the premises. The company can move its registered office later with a board resolution and an MGT-14/INC-22 filing — note that moving between districts can also move you to a different Maharashtra ROC.
The state adds nothing to the national timeline: a clean SPICe+ filing completes in 7–15 working days end to end, with DSC and name reservation taking the first 2–3 days. Maharashtra stamp duty is computed inside SPICe+, so there is no stamp-office visit adding days.
In Maharashtra the choice has a real price difference: the AOA duty is 0.3% of capital, so ₹10 lakh of authorised capital costs ₹3,000 in AOA duty against ₹300 at ₹1 lakh. Unless a tender, licence or investor asks for higher capital on day one, start at ₹1 lakh — authorised capital can be increased later with a filing, paying the additional duty then.
The process, stamp duty and packages are identical — Pune district reports to ROC Pune, which the 2026 restructure left unchanged. We also have a dedicated Pune company registration page if your registered office will be in Pune and you want the city-level picture.
