What this page is. Five well-known Indian business stories, retold from public filings, court records and press reports, each read for the lesson it holds about one service: company registration, SME IPO, corporate restructuring, trademark and ESOPs.
What this page is not. None of the companies below is, or has ever been, a ComplyKart client, and nothing here claims otherwise. We publish these stories because the moves in them — registering the right structure, keeping filings clean, listing, separating a business, evidencing a brand, sharing equity early — are open to any well-run company, including yours.
Nykaa — the registration that carried a company to the exchange
Falguni Nayar incorporated FSN E-Commerce Ventures as a private limited company on 24 April 2012. Nine years of clean filings and one profitable year later, it converted to a public limited company and raised ₹5,352 crore in an IPO subscribed more than 80 times.
The lesson: register for the company you intend to become, and keep the ROC record clean from the first year — due diligence reads it line by line.
KP Green Engineering — the SME IPO that funded a factory
A Surat steel-fabrication company listed on BSE SME in March 2024 with a ₹189.50 crore issue — then the largest SME IPO in India — put the money into a new plant, and roughly doubled its total income to ₹702 crore in its first full listed year.
The lesson: the SME platforms are a working funding route for profitable mid-sized companies, and readiness is built from years of audited accounts and on-time filings.
ITC Hotels — the demerger that sold nothing and changed everything
ITC's hotels business moved into its own listed company through an NCLT-approved demerger effective 1 January 2025. Shareholders received one ITC Hotels share for every ten ITC shares; the new company listed debt-free on 29 January 2025.
The lesson: restructuring is not only for companies in trouble — a healthy division can be worth more standing on its own, and the route takes planning a year or more ahead.
Pune's Burger King — the trademark the local shop kept
A Pune family used the name Burger King from 1991–92. The American chain sued in 2011; in July 2024 the Pune District Court dismissed the suit under section 34 of the Trade Marks Act, which protects the honest prior user. The appeal is still pending — and the evidentiary lesson is already clear.
The lesson: in India, use proven early beats fame claimed late — keep dated proof of your first use, and register your mark while the business is young.
Infosys — the ESOP that made drivers and engineers wealthy
Infosys put an employee stock option scheme in place in 1994 and, by its own annual report's account, its 1994, 1998 and 1999 schemes gave stock to over 18,000 employees — creating hundreds of dollar millionaires and thousands of rupee millionaires, support staff included.
The lesson: ESOPs work when they are early, broad and documented — a pool designed at the first funding round, with vesting and approvals in writing.
You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.
No — none of them, and we say so on every case study page. These are public-record stories about famous companies, published to explain how registration, listing, restructuring, trademark protection and ESOPs work when they are done well. Our own client work is confidential and is never written up in this form.
From primary and reputable public sources named at the foot of each story: IPO prospectuses and exchange filings (Nykaa, KP Green Engineering), ITC's regulatory announcements and the business press for the demerger, the Pune District Court's judgment and legal reporting for the Burger King dispute, and Infosys's own annual report for the ESOP story. If a figure could not be verified against such a source, it was left out.
Yes — that is why we chose them. Every story turns on a decision or a habit available to a small company today: picking the private limited structure at the start, filing on time for years, evidencing first use of a brand, writing an ESOP scheme properly. The scale is different; the paperwork is the same paperwork.
Yes. Company registration, trademark registration and ESOP design are handled directly through the service pages linked from each story. SME IPO readiness and corporate restructuring are handled by our corporate practice — the case studies link to the relevant pages, and every engagement starts with a free consultation so we can tell you honestly whether your records and numbers are ready.
