The short answer. ITC's hotels business spent decades as one division of a very large conglomerate. A demerger, approved under a scheme of arrangement, moved it into its own company, ITC Hotels Limited. Shareholders received one ITC Hotels share for every ten ITC shares they held, ITC itself kept 40%, and the new company listed on 29 January 2025 — debt-free, with ₹1,500 crore of cash from ITC on its balance sheet. Nobody sold anything. The structure simply let a mature business stand on its own.

An honesty note: ITC is not a ComplyKart client. This account is drawn from exchange filings and press reports of the scheme.

Where they started

ITC is one of India's oldest conglomerates: cigarettes, FMCG, paperboards and packaging, agri-business — and hotels. The hotels business, built over decades under brands such as ITC Hotels, Welcomhotel and Fortune, was a substantial operation in its own right and among the country's largest hotel chains. Yet inside the group accounts it was a modest line in a very large table, valued by the market as a small part of a cigarette-led whole.

That is a common conglomerate problem, and it cuts both ways. The parent could not get full credit for the hotels business, and the hotels business could not raise capital, sign partnerships or be judged on its own numbers. Its growth was funded at the group's discretion, in competition with every other division's plans.

The move that mattered

ITC chose a demerger — a court-supervised restructuring under sections 230 to 232 of the Companies Act, 2013 — rather than a sale. The hotels undertaking would move, as a going concern, into ITC Hotels Limited, and ITC's own shareholders would own the new company between them.

The route a listed-company demerger must travel is long, and ITC's scheme walked every step of it in public:

  • Board and exchange stage. The scheme was placed before the stock exchanges and SEBI for their observations before it could go to shareholders.
  • Shareholder approval. At the court-convened meeting in June 2024, shareholders approved the demerger with 99.6% voting in favour.
  • Competition clearance. The Competition Commission of India approved the transaction.
  • NCLT sanction. The Kolkata bench of the National Company Law Tribunal approved the scheme in October 2024.
  • Completion. The demerger took effect on 1 January 2025, with 6 January 2025 as the record date. ITC allotted 125.11 crore shares of ITC Hotels to its shareholders, transferred ₹1,500 crore in cash to the new company, and licensed its trademarks to it.

What the numbers show

1 share for every 10 — the entitlement: each ITC shareholder received one ITC Hotels share for every ten ITC shares held.

40 / 60 — the split afterwards. ITC retained 40% of ITC Hotels; the remaining 60% sits directly with ITC's shareholders, so the same people own both companies, in the same proportions as before.

99.6% — the shareholder vote in favour of the scheme.

₹1,500 crore — cash transferred by ITC to ITC Hotels for growth and contingencies. The new company began life debt-free, with a reported net worth of about ₹10,000 crore.

29 January 2025 — ITC Hotels listed on the BSE and NSE, within weeks of the scheme taking effect.

What this means for your business

Restructuring is usually discussed as something companies do in trouble. This is the other kind: a healthy business, deliberately separated because it had outgrown the structure around it. Family businesses reach a smaller version of the same point — two divisions with different futures, one partner group that wants out of one line but not the other, a unit being prepared for an investor or a sale. A demerger or a slump sale, structured under a scheme, often answers those problems without anyone having to sell to a stranger.

Two practical lessons travel down to companies of every size. First, the timeline: a listed-group scheme took well over a year from announcement to effectiveness, most of it waiting on approvals — so restructuring is planned a year or more before it is needed. Second, the paperwork: valuations, a fairness opinion, shareholder and creditor processes and NCLT hearings are all built on the company's records. If you are weighing a separation, merger or reorganisation, start with the structure and the numbers — our corporate restructuring practice handles schemes of arrangement end to end, and business valuation is usually the first piece of work, because every later conversation depends on it.

Sources. Based on ITC's exchange filings and regulatory announcements (shareholder approval of 99.6%, record date of 6 January 2025, allotment of 125.11 crore shares, listing on 29 January 2025) and contemporaneous reporting by The Economic Times and other business press on the NCLT and CCI approvals, the ₹1,500 crore cash transfer and the debt-free opening balance sheet. ITC is not a ComplyKart client.

Frequently asked questions

You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.

One company splits off a business division into a separate company, and the shareholders of the original company receive shares in the new one in proportion to what they already own. Nothing is sold and nobody is bought out — the same owners end up holding two companies instead of one.

For a scheme of arrangement under sections 230–232 of the Companies Act, 2013: the boards of both companies, shareholders and creditors voting at court-convened meetings, and finally the National Company Law Tribunal, which sanctions the scheme. Listed companies also go through the stock exchanges and SEBI first, and large combinations may need Competition Commission clearance, as ITC's did.

Not by the mechanics of it. ITC's shareholders kept their ITC shares and received ITC Hotels shares on top — one for every ten held — so they owned the same businesses, held through two listed companies instead of one. Share prices move for their own reasons afterwards, but the demerger itself exchanges no one's value away.

A demerger that satisfies the conditions in section 2(19AA) of the Income-tax Act, 1961 — including transfer of the undertaking as a going concern and shares issued to the demerged company's shareholders in proportion to their holding — is designed to be tax-neutral for the companies and the shareholders. Schemes are drafted around those conditions deliberately, which is one reason the documentation matters so much.

For a listed group, plan on roughly 12 to 18 months from board approval to effectiveness — ITC's scheme moved through the exchange, shareholder, CCI and NCLT stages during 2024 and took effect on 1 January 2025. Unlisted companies usually move faster, but the sequence of approvals is the same, and the NCLT's calendar is not in anyone's control.
