What LLP Form 8 is

Form 8 is the statement of account and solvency that every LLP files with the ROC each year.
It is due by 30 October for the financial year ended 31 March.
It contains the LLP's financial position and a declaration by the designated partners that the LLP can meet its liabilities.
LLPs with turnover above Rs 40 lakh or contribution above Rs 25 lakh must also get their accounts audited - but Form 8 applies to all LLPs regardless.

Finalise the LLP's accounts

Form 8 carries the LLP's statement of account and solvency for the year ended 31 March, prepared on accrual basis.

Check if audit certification applies

LLPs with turnover above ₹40 lakh or contribution above ₹25 lakh need their accounts audited — the auditor's report then supports Form 8.

Prepare the solvency declaration

The designated partners declare the LLP's ability to meet its liabilities — a false declaration carries personal consequences.

Two designated partners sign

Unlike most MCA forms, Form 8 requires DSC signatures of two designated partners.

File by 30 October every year

Form 8 is due by 30 October. Like Form 11, the penalty is ₹100 per day of delay with no upper cap.

Archive the approved filing

The SRN acknowledgement completes the LLP's annual filing pair — Form 11 plus Form 8.

Yes. It is the LLP's financial statement filing - every LLP files it, active or dormant.

Form 8 carries the financials and a solvency declaration by the designated partners. Form 11 is the annual return of partners and contributions. Different forms, both mandatory.

Per-day additional fees with no cap. And because Form 8 includes a solvency declaration, persistent default can raise serious questions.

At least two designated partners must sign the solvency declaration. They should read the statement of account before signing - we brief them on what it says.

Full books aren't always required, but the statement of account must reflect true figures. If your books are a mess, talk to us - we do bookkeeping too.

LLPs need an audit only if turnover exceeds Rs 40 lakh or contribution exceeds Rs 25 lakh. Below that, no audit - but Form 8 is still required.

The declaration states the LLP is able to pay its debts in the normal course of business. If that's not true, the partners need honest advice before signing - and we give it.
