What ODI compliance is

Overseas Direct Investment (ODI) is investment by an Indian resident in an entity outside India - subsidiaries, joint ventures, and similar structures.
Under FEMA, ODI must be reported through an Authorised Dealer bank at the time of investment, with annual filings thereafter.
Most ODI goes through the automatic route; larger or sensitive investments may need RBI approval.
The compliance continues for the life of the investment - it is not a one-time filing.

Step 1 of 6

Identify the ODI event

Overseas Direct Investment — equity, debt, or guarantees in a foreign JV or wholly-owned subsidiary — must be reported to the RBI.

Route through the AD bank and get the UIN

The investment goes through an Authorised Dealer bank, which reports the transaction and generates the UIN for the overseas entity.

Report the initial investment

The initial investment is reported in the ODI form on the FIRMS portal within the prescribed timelines.

File the Annual Performance Report

Every year, the Annual Performance Report on the overseas entity's functioning is due by 31 December.

Report changes and exits

Disinvestment, restructuring, or write-offs are reported as and when they occur.

Maintain the ODI dossier

The UIN file — investment, APRs, and remittance proofs — is kept complete for RBI inspections.
