Main Object Clauses

  1. To carry on the business of manufacturing, processing, packaging, branding and marketing of fast-moving consumer goods including food products, dairy items, snacks, ready-to-eat meals, spices, condiments, health foods and packaged beverages.
  2. To set up and operate food processing plants, cold chains, warehouses and distribution networks, and to undertake contract manufacturing, private labelling and third-party production for domestic and international brands.
  3. To carry on the business of importing, exporting, wholesaling and retailing of FMCG products, agricultural produce and processed foods through modern trade, general trade, e-commerce and direct-to-consumer channels.
  4. To engage in research and development of food formulations, nutritional products and packaging technologies, and to acquire, hold and license food-related patents, trademarks and proprietary recipes.

Related Licences & Registrations

  • FSSAI Licence: Mandatory before commencing any food business — central licence for large manufacturers, state licence for smaller units; no production or sale without it.
  • Factory Licence & Pollution NOC: Processing plants need registration under the Factories Act and consent to establish and operate from the State Pollution Control Board.
  • GST Registration: Food products carry varied GST slabs; registration from day one is essential for claiming input tax credit on plant, machinery and raw materials.

ROC Filing Notes

  • MCA sometimes queries objects that combine ‘manufacturing’ with ‘e-commerce and D2C’ — this is acceptable as forward integration, but list the primary activity (manufacturing) first so the main business line is unambiguous.
  • If the company will handle meat, dairy or alcohol-adjacent products, expect closer scrutiny of the objects; keep them specific rather than a blanket ‘all food products’ claim.
