Main Object Clauses
- To establish, acquire, operate and manage hospitals, nursing homes, clinics, diagnostic laboratories, pathology centres, imaging and radiology centres, dialysis centres and home healthcare services.
- To carry on the business of providing medical, surgical, diagnostic, therapeutic, preventive and rehabilitative healthcare services, including telemedicine, second-opinion services and health screening programmes.
- To engage doctors, technicians, nurses and paramedical staff on employment or consultancy basis, and to run training programmes for paramedical and nursing personnel.
- To manufacture, assemble, import, export and trade medical, surgical, diagnostic and laboratory equipment, reagents, consumables and disposables used in healthcare delivery.

Related Licences & Registrations
- Clinical Establishment registration: mandatory under the state Clinical Establishments Act (or the central Act where adopted) — no hospital or clinic runs legally without it.
- NABL accreditation: not mandatory, but hospitals and labs without it struggle to get insurance and corporate tie-ups.
- Biomedical Waste authorisation: required under the BMW Management Rules for any facility generating medical waste.
- AERB approval: needed for X-ray, CT and other radiation-emitting imaging equipment.
ROC Filing Notes
- Never use the word ‘pharmacy’ loosely in a hospital MOA — retail pharmacy is a separately licensed activity, and MCA flags it.
- Telemedicine is fine as an object, but state that services comply with the Telemedicine Practice Guidelines, 2020.
- If the company will employ doctors, the objects should mention engaging medical professionals — ROC occasionally asks how a company provides medical services without doctors in its objects.
