Main Object Clauses
- To carry on the business of importers, exporters, wholesalers, distributors, stockists, commission agents and general merchants, and to trade in all kinds of goods, commodities, merchandise and products permitted under law.
- To carry on the business of indenting agents, buying and selling agents and representatives for domestic and international manufacturers and suppliers.
- To establish and operate wholesale distribution networks, cash-and-carry outlets and B2B trading platforms, whether physical or digital.
- To provide sourcing, quality inspection, procurement consultancy and supply chain coordination services incidental to the trading business.

Related Licences & Registrations
- Importer-Exporter Code (IEC) from DGFT: mandatory for any import or export — applied online, usually issued quickly.
- GST registration: trading turnover crosses the threshold fast; registration is effectively unavoidable.
- APEDA / MPEDA / Export Promotion Council registration: needed when dealing in scheduled export products such as agri produce or marine goods.
ROC Filing Notes
- Keep the trading objects deliberately wide (‘all kinds of goods’) — a narrow product list means an MOA amendment every time a new line is added.
- Do not name specific countries in the objects — it serves no legal purpose and dates the document.
- If the company may manufacture later, add a manufacturing clause now; converting a pure-trading MOA later is avoidable paperwork.
