Main Object Clauses

  1. To carry on the business of interior designing, space planning, architectural consultancy and turnkey interior contracting for residential, commercial, industrial and institutional premises, including design development, 3D visualisation, material selection and project execution.
  2. To undertake modular furniture design, false ceiling, flooring, lighting, electrical and plumbing layout works as part of interior fit-out projects, and to manufacture, source and trade in interior décor products, furnishings, fittings and accessories.
  3. To provide architectural design services, building plan preparation, liaison with municipal and development authorities for plan sanctions, and project management consultancy for construction, renovation and restoration works.
  4. To carry on the business of landscape designing, façade treatment, exhibition stall designing and event space styling, and to operate design studios and experience centres for display and sale of interior products.

Related Licences & Registrations

  • GST Registration: Interior contracting and design services attract GST; registration is needed once turnover crosses the threshold, and works-contract billing needs careful HSN/SAC mapping.
  • Shops & Establishments Registration: Required for design studios, offices and experience centres in every state where the company operates.
  • Council of Architecture compliance: Only architects registered with the Council of Architecture may use the title ‘Architect’ — company stationery and the MOA should say ‘architectural consultancy’ unless a registered architect is on board.

ROC Filing Notes

  • MCA often objects to the word ‘Architect’ in the proposed company name unless a registered architect is a director. Keep the name neutral, or add the professional as a director before filing.
  • If the company will execute civil work and not just design, add explicit contracting and project-execution objects — design-only objects do not legally cover construction activity, and clients’ contracts will reference them.
