Related Licences & Registrations
- GST Registration: Mandatory once turnover crosses ₹40 lakh (₹20 lakh for services in most states); software services are taxed at 18%.
- STPI Registration: Relevant if you export software services — gives duty and tax benefits on imported equipment.
- Shops & Establishments Registration: Required in every state where you run an office, usually within 30 days of starting.
- Trademark: Protect your product and brand names early — software brand disputes are common and expensive to fight later.
ROC Filing Notes
- MCA rarely objects to IT objects, but keep the wording broad enough to cover future pivots — a clause limited to “web development” will not cover a later move into AI products without an MOA alteration.
- If you plan to take foreign investment, avoid restrictive words like “consultancy only” — FEMA reporting reads the objects, and narrow wording creates questions during FDI filings.
- Do not copy another company’s objects word for word with the company name swapped; the Registrar’s office sees thousands of these and identical text with inconsistent punctuation is a common resubmission trigger.
