Main Object Clauses

  1. To carry on the business of generating, transmitting, distributing, trading and supplying electricity from solar, wind, hydro, biomass and other renewable energy sources, including setting up solar parks, rooftop installations and captive power plants.
  2. To design, engineer, procure, construct, commission, operate and maintain renewable energy projects on EPC and turnkey basis, and to provide consultancy on energy audits, feasibility studies and carbon credit advisory.
  3. To manufacture, assemble, import, export, distribute and trade solar panels, inverters, batteries, mounting structures, EV charging equipment and other renewable energy components and systems.
  4. To enter into power purchase agreements, open access arrangements and net metering contracts with utilities, industries and institutions, and to trade renewable energy certificates and carbon credits.

Related Licences & Registrations

  • State Nodal Agency Registration: Solar projects typically need registration with the state’s renewable energy nodal agency for approvals, feasibility clearances and subsidy access.
  • DISCOM / Net Metering Approvals: Rooftop and captive installations need net metering or open access approval from the local distribution company before commissioning.
  • Electrical Contractor Licence: Installation and commissioning work requires licensed electrical contractors in most states.

ROC Filing Notes

  • MCA accepts power generation objects without any licence at incorporation — generation licences come from electricity regulators, not the ROC, so no NOC is needed at the SPICe+ stage.
  • If objects mention ‘power trading’ or ‘distribution’, word them as proposed activities — actual trading needs a CERC or SERC licence before operations begin, and the objects should not imply it is already held.
