Overview

Karnataka registrations are dominated by Bengaluru — startups, SaaS companies, D2C brands and a steady stream of services firms — but the same state rules cover Mysuru, Mangaluru, Hubballi and every other district. Incorporation runs on the national SPICe+ system. The Karnataka layer that matters is cost: since February 2024 the state carries some of the highest incorporation stamp duty in India, ₹5,000 on the Memorandum and ₹5,000 per ₹10 lakh of authorised capital on the Articles. On a standard ₹1 lakh or ₹10 lakh capital, that is a flat ₹10,000 going to stamp duty before anything else — more than the MCA charges for the entire filing.

The rest of the Karnataka picture is simpler than most states. One Registrar of Companies at Bengaluru covers all 31 districts, and the state was untouched by the 2026 ROC restructure. Professional tax applies and — usefully — the SPICe+ application itself can carry the Karnataka professional tax registration, which saves a separate trip to the Commercial Taxes Department.

If your registered office will be inside Bengaluru, our Bangalore company registration page covers the city in detail. This page is the state view; the national rules sit in the parent private limited company registration guide.

Is a private limited company right for you?

A private limited company is a good fit if:

  • You are starting with co-founders and need a clean way to split ownership, vesting and decision rights.
  • You plan to raise investment — angels, venture capital and bank lenders all work most easily with the private limited structure.
  • You want limited liability: business debts stay with the company, not with your personal assets.
  • You are hiring employees and want ESOPs, a professional brand and contracts in the company's name.
  • Your business will deal with enterprises, government tenders or marketplaces that ask for a CIN.

Consider alternatives if:

  • You are a solo founder with no plans to take co-founders — a One Person Company gives you the same limited liability with lighter compliance.
  • You are a professional firm (CA, CS, consultants) that wants internal flexibility — an LLP may suit better.
  • You are testing an idea with minimal revenue — a proprietorship or partnership is cheaper until the business proves itself.
  • Your activity is charitable — a Section 8 company is the correct vehicle, not a private limited company.

What must be decided before filing

People: You need at least 2 directors (individuals, at least one resident in India — 182+ days in India during the previous calendar year) and at least 2 shareholders (members). Directors and shareholders can be the same people. Foreign nationals can be both, with attested documents. Decide who holds how many shares now — re-splitting equity later means stamp duty, filings and sometimes disputes.

Decisions: The company name (ending in "Private Limited"), the authorised and paid-up share capital, the main business objects (what the company will actually do — this goes into the MOA and is harder to change later than founders expect), and the registered office address in Karnataka.

Documents: PAN and Aadhaar for Indian directors and shareholders, photographs, address proof, and proof for the registered office (a utility bill not older than two months, plus a no-objection certificate from the owner if the premises are rented or belong to someone else). Foreign directors need a passport and attested KYC — the documents section below lists everything.

Advantages of a private limited company

Separate legal entity

The company is a person in law, distinct from its founders. It owns assets, signs contracts, borrows and sues in its own name.

Limited liability

A shareholder's exposure stops at the amount unpaid on their shares. A bad year for the company does not put personal savings or the family home on the line — fraud and personal guarantees are the exceptions, as they should be.

Perpetual existence

The company continues regardless of changes in directors or shareholders. Ownership moves; the entity, its contracts and its bank relationships stay.

Fundraising and ESOPs

Shares can be issued to investors, and ESOPs let you pay early employees partly in ownership. Neither works cleanly in a proprietorship or partnership.

Credibility

A CIN is publicly verifiable on the MCA portal. Enterprise customers, marketplaces and tender committees check it — and a registered company clears that first filter without a conversation.

Easy transfer of shares

Ownership changes hands by transferring shares, subject to the Articles. Exits, investor entry and family succession are all simpler than restructuring a firm.

Documents required

For every director and shareholder (Indian):

  • PAN card — mandatory for Indian nationals
  • Aadhaar card
  • Passport-size photograph (recent)
  • Address proof — bank statement or a utility bill, not older than 2 months

For foreign directors and shareholders: passport (mandatory), plus address proof from the home country. Documents issued outside India need apostille or consular attestation, and an English translation where the original is in another language.

For the registered office in Karnataka:

  • Utility bill for the premises, not older than 2 months
  • Rent agreement or lease deed if the premises are rented
  • No-objection certificate from the property owner
  • Sale deed or property papers if the premises are owned

The registered office does not have to be a commercial office — a home address works, as long as the owner consents and the address can receive MCA correspondence.

The SPICe+ process — step by step

Step 1: Check eligibility and structure

Confirm the directors, shareholding split, capital and registered office. Two minutes of care here prevents the most common resubmissions later.

Step 2: Get DSCs for the directors

Every director needs a Class-3 Digital Signature Certificate. It is issued online against PAN and Aadhaar, usually the same day.

Step 3: Reserve the company name (SPICe+ Part A)

Two name options are filed. The CRC checks them against existing companies, trademarks and the name-availability rules. A descriptive, distinctive name clears far more often than a generic one.

Step 4: Draft the MOA and AOA

The Memorandum states what the company will do; the Articles state how it will be run internally. Both are prepared in the electronic e-MOA/e-AOA formats for most companies.

Step 5: File SPICe+ Part B with AGILE-PRO-S

The incorporation application goes in with the DIN applications, PAN and TAN applications, EPFO and ESIC registration, and — where you opt in — GST (GSTIN), professional tax registration for the states the form covers, and a bank account opening. Stamp duty on the MOA and AOA is computed by the system on Karnataka's schedule and paid with the filing.

Step 6: CRC examination

The Central Registration Centre examines the filing. If anything is unclear, it issues a resubmission note instead of rejecting — most resubmissions are about name similarity, address proof quality or object clauses.

Step 7: Receive the Certificate of Incorporation

The CoI arrives by email with the CIN, company PAN and TAN. This is the company's birth certificate — banks and marketplaces will ask for it constantly.

Step 8: Complete post-incorporation compliance

First board meeting, auditor appointment (ADT-1), share certificates, statutory registers, and the INC-20A commencement declaration within 180 days after the share capital is deposited in the company bank account. Skipping INC-20A is the single most common — and most avoidable — early penalty.

The Karnataka ROC — one office at Bengaluru for the whole state

Karnataka has a single Registrar of Companies, seated in Bengaluru, with jurisdiction over all 31 districts of the state. Whether your registered office is in Whitefield, Mangaluru or Kalaburagi, your ROC is ROC Bengaluru.

Karnataka was not part of the February 2026 ROC restructure (MCA notification S.O. 4850(E)), which split offices in states like Maharashtra, Uttar Pradesh and West Bengal — the Bengaluru jurisdiction is exactly what it was. Incorporation is examined by the Central Registration Centre as everywhere else; ROC Bengaluru handles your annual filings, inspections and adjudications afterwards. The state code in your CIN is "KA" — the second block of the 21-character number (for example, U72900KA2026PTC000000 in structure).

Your CIN — what the 21 characters mean

Your Certificate of Incorporation carries a 21-character Corporate Identity Number. In a number shaped like U72900KA2026PTC123456: the first letter marks listing status (U = unlisted), the next five digits are the industry activity code, KA is the Karnataka state code, 2026 is the incorporation year, PTC marks a private limited company, and the last six digits are the registration number issued by the ROC. Banks, marketplaces and customers can verify the CIN free on the MCA portal — it is the quickest trust check a new company gets.

How long does it take?

StageTypical timeWhat it depends on
DSC issuanceSame day to 1 dayClean PAN/Aadhaar match
Name reservation1–2 working daysDistinctiveness of the name
SPICe+ examination3–5 working daysDocument quality; resubmission adds 3–4 days
Certificate, PAN, TANIssued together—
Total, clean filing7–15 working daysEnd to end, documents ready

Anyone promising incorporation in 24 or 48 hours is skipping the examination reality. A clean filing with ready documents realistically lands inside two weeks, and we tell you the day your name is approved what your likely certificate date is.

Fees and costs

Karnataka is the state where the stamp duty line deserves your full attention — it is frequently the largest single government cost of incorporation here:

Cost headAmountNotes
MCA filing fee (SPICe+)Nil up to ₹15 lakh authorised capitalThe MCA is not the expensive part in Karnataka
Stamp duty — Memorandum (MOA)₹5,000 flatKarnataka Stamp Act, Article 33(a)
Stamp duty — Articles (AOA)₹5,000 for every ₹10 lakh of authorised capital or part, max ₹1 croreKarnataka Stamp Act, Article 10, as raised by the Karnataka Stamp (Amendment) Act, 2023
Stamp duty at ₹1 lakh or ₹10 lakh capital₹10,000Both slabs land on the same figure — the AOA minimum slab is a full ₹5,000
DSC for directors₹1,500–₹2,500 per directorClass-3, two-year validity, market price
ComplyKart professional feeFrom ₹8,499 (Starter)Growth ₹12,999, Scale ₹19,999 — see the packages on this page

The rates above took effect on 3 February 2024. Older guides quoting ₹1,000–₹1,500 of Karnataka stamp duty are describing a schedule that no longer exists — check the date on anything you read. SPICe+ computes and collects the duty at filing. One practical consequence: in Karnataka, unlike percentage-duty states, trimming authorised capital from ₹10 lakh to ₹1 lakh saves you nothing on the AOA (both sit in the first ₹5,000 slab), so choose capital on business grounds, not duty grounds.

How ComplyKart helps

We handle the entire filing: DSCs, name reservation, MOA/AOA drafting, SPICe+ and AGILE-PRO-S, stamp duty computation for Karnataka, and the post-incorporation pack (first board meeting minutes, auditor appointment support, INC-20A). One fixed fee quoted in writing before we start, a named consultant on your file, and updates at every stage — name approved, filed, resubmission if any, certificate issued. If the CRC raises a query, we answer it; you do not learn MCA procedure the hard way.

What happens after incorporation

  • Bank account: Open the current account (AGILE-PRO-S can start this with a partner bank) and deposit the paid-up capital.
  • INC-20A: File the commencement of business declaration within 180 days of incorporation, after the capital is in the bank.
  • Auditor: Appoint the first auditor within 30 days (board) and file ADT-1.
  • Registers and certificates: Issue share certificates within 60 days of incorporation; maintain the statutory registers from day one.
  • GST: Register if your turnover or business model requires it (inter-state supply, marketplaces, or crossing the threshold).
  • State registrations: Professional tax and Shops & Establishment registration for Karnataka — covered in the local layer section below.

Recurring compliance

  • Annual general meeting every year; board meetings at least four times a year (120-day maximum gap) — small companies get a relaxed two-meeting rule.
  • Annual filing: AOC-4 (financial statements) and MGT-7/7A (annual return) with the ROC.
  • Income tax return every year, plus TDS and GST returns as applicable.
  • Director KYC (DIR-3 KYC) every year for every DIN holder.
  • MSME Form I (if applicable), BEN-2 for significant beneficial owners, and DPT-3 every June.

None of this is difficult when it is calendared from the start. Every ComplyKart incorporation includes a first-year compliance checklist with your dates on it.

Karnataka's own layer — professional tax, Shops Act and Seva Sindhu

Professional tax. Karnataka levies professional tax on salaries, with deductions topping out at ₹200 a month for higher-paid employees. Employer enrolment and employee registration are required once you hire. Karnataka is one of the states whose professional tax registration is built into the incorporation flow — the SPICe+ form itself can carry the application — so a Karnataka company can come out of incorporation with its PT registration already applied for.

Shops & Establishment. The Karnataka Shops and Commercial Establishments Act, 1961 requires every establishment in the state to register, done online through the Seva Sindhu portal. Keep the certificate handy: it is asked for in current-account opening, marketplace onboarding and most enterprise vendor registrations.

Single window and startups. State approvals route through Karnataka Udyoga Mitra, the state's single-window mechanism, and Bengaluru startups additionally plug into the Karnataka Startup Cell's ecosystem. Neither changes incorporation itself; both matter in the months after, for licences, incentives and space.

If a founder is outside India

Foreign nationals and NRIs can hold shares and directorships in an Indian private limited company, subject to the FDI rules for the sector. The practical differences are paperwork, not permission: passport and overseas address proof need apostille or consular attestation, the DSC application uses the passport as identity proof, and at least one director must be resident in India. The foreign investment must come through proper banking channels, and FC-GPR reporting follows within 30 days of share allotment. If this is your situation, our company registration in India for foreigners page walks through the FEMA side in detail.

Private limited vs LLP vs OPC vs proprietorship

FactorPrivate LimitedLLPOPCProprietorship
Ideal forFunded startups, growing teamsProfessional firms, small partnershipsSolo foundersTesting an idea
Investor fundingYes — shares and ESOPsNo equity investorsNo co-founders/investorsNone
LiabilityLimitedLimitedLimitedUnlimited
Compliance loadHighest of the fourModerateLower than Pvt LtdMinimal
CredibilityHigh — CIN publicly verifiableModerateModerate-highLow

If two or more founders, outside investment or enterprise customers are anywhere in your plan, the private limited company is usually worth its extra compliance. If you are alone, look at the OPC; if you are a professional practice sharing profits without outside equity, the LLP deserves a serious look.

Registering in another state instead?

The SPICe+ process is national, but stamp duty, the ROC map and professional tax are not. If your registered office will actually sit elsewhere, see how the numbers change for private limited company registration in Tamil Nadu and private limited company registration in Maharashtra — and register where the office genuinely is, because shifting states later is a formal ROC process, not a change of address.

FAQ

Frequently asked questions

8 answers from our consultants.

You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.

Because the Karnataka Stamp (Amendment) Act, 2023 raised both charges sharply, effective 3 February 2024: the Memorandum now carries ₹5,000 flat (Article 33(a)), and the Articles carry ₹5,000 for every ₹10 lakh of authorised capital or part thereof (Article 10). At any capital up to ₹10 lakh the two add up to ₹10,000. Websites still quoting a few hundred rupees are working from the pre-2024 schedule.

ROC Bengaluru covers the whole of Karnataka — all 31 districts. There is no separate ROC for Mysuru, Mangaluru or Hubballi, and Karnataka was not split in the February 2026 ROC restructure. Your CIN carries the state code KA wherever in the state your office sits.

Yes. Once you employ staff, the company must enrol as an employer and deduct professional tax from salaries — ₹200 a month at the top slab. Karnataka is integrated into the SPICe+ incorporation flow for professional tax registration, so the application can be made as part of your incorporation rather than as a separate filing afterwards.

Yes — the Karnataka Shops and Commercial Establishments Act, 1961 covers establishments across the state, and registration is done online through Seva Sindhu. It is one of the documents banks and marketplaces routinely ask a new company for, so we treat it as part of the setup, not an optional extra.

Only once you cross ₹10 lakh. The AOA duty is ₹5,000 per ₹10 lakh slab or part of it, so ₹1 lakh and ₹10 lakh of authorised capital cost the same ₹5,000, while ₹25 lakh would cost ₹15,000. Below that first slab boundary, pick capital for business reasons — a higher figure does not buy credibility that a bank or investor can actually see.

The same 7–15 working days as the rest of India for a clean filing: DSC and name reservation in the first 2–3 days, then CRC examination. Karnataka's stamp duty is collected inside SPICe+, so despite the higher amount it adds no extra step or day.

Either works: the packages, stamp duty and process are the same. Our Bangalore company registration page is written for founders whose registered office is in the city itself; this page is the one to use for the rest of Karnataka, or if you are comparing states before deciding where to incorporate.
