Overview
Kerala registrations cluster in Kochi — Infopark and SmartCity IT, marine trade, startups out of the Kerala Startup Mission ecosystem — with Thiruvananthapuram's Technopark and Kozhikode's trading economy behind it. The incorporation itself is the national SPICe+ filing. Kerala's state layer: stamp duty of ₹1,000 on the Memorandum and a slabbed charge on the Articles (₹2,000 up to ₹10 lakh of authorised capital, ₹5,000 up to ₹25 lakh), one Registrar of Companies at Ernakulam for the whole state, and professional tax collected by your local body rather than the state.
Kerala's single window, K-SWIFT, is where post-incorporation state clearances live, and it is genuinely used — Shops & Establishment registration and most licences route through the state's online machinery. For a services company the state layer is light; for anything with premises, food or manufacturing, K-SWIFT becomes the working tool in the first quarter.
You are starting with co-founders and need a clean way to split ownership, vesting and decision rights.
You plan to raise investment — angels, venture capital and bank lenders all work most easily with the private limited structure.
You want limited liability: business debts stay with the company, not with your personal assets.
You are hiring employees and want ESOPs, a professional brand and contracts in the company's name.
Your business will deal with enterprises, government tenders or marketplaces that ask for a CIN.
Consider alternatives if:
You are a solo founder with no plans to take co-founders — a One Person Company gives you the same limited liability with lighter compliance.
You are a professional firm (CA, CS, consultants) that wants internal flexibility — an LLP may suit better.
You are testing an idea with minimal revenue — a proprietorship or partnership is cheaper until the business proves itself.
Your activity is charitable — a Section 8 company is the correct vehicle, not a private limited company.
What must be decided before filing
People: You need at least 2 directors (individuals, at least one resident in India — 182+ days in India during the previous calendar year) and at least 2 shareholders (members). Directors and shareholders can be the same people. Foreign nationals can be both, with attested documents. Decide who holds how many shares now — re-splitting equity later means stamp duty, filings and sometimes disputes.
Decisions: The company name (ending in "Private Limited"), the authorised and paid-up share capital, the main business objects (what the company will actually do — this goes into the MOA and is harder to change later than founders expect), and the registered office address in Kerala.
Documents: PAN and Aadhaar for Indian directors and shareholders, photographs, address proof, and proof for the registered office (a utility bill not older than two months, plus a no-objection certificate from the owner if the premises are rented or belong to someone else). Foreign directors need a passport and attested KYC — the documents section below lists everything.
Advantages of a private limited company
Separate legal entity
The company is a person in law, distinct from its founders. It owns assets, signs contracts, borrows and sues in its own name.
Limited liability
A shareholder's exposure stops at the amount unpaid on their shares. A bad year for the company does not put personal savings or the family home on the line — fraud and personal guarantees are the exceptions, as they should be.
Perpetual existence
The company continues regardless of changes in directors or shareholders. Ownership moves; the entity, its contracts and its bank relationships stay.
Fundraising and ESOPs
Shares can be issued to investors, and ESOPs let you pay early employees partly in ownership. Neither works cleanly in a proprietorship or partnership.
Credibility
A CIN is publicly verifiable on the MCA portal. Enterprise customers, marketplaces and tender committees check it — and a registered company clears that first filter without a conversation.
Easy transfer of shares
Ownership changes hands by transferring shares, subject to the Articles. Exits, investor entry and family succession are all simpler than restructuring a firm.
Documents required
For every director and shareholder (Indian):
PAN card — mandatory for Indian nationals
Aadhaar card
Passport-size photograph (recent)
Address proof — bank statement or a utility bill, not older than 2 months
For foreign directors and shareholders: passport (mandatory), plus address proof from the home country. Documents issued outside India need apostille or consular attestation, and an English translation where the original is in another language.
For the registered office in Kerala:
Utility bill for the premises, not older than 2 months
Rent agreement or lease deed if the premises are rented
No-objection certificate from the property owner
Sale deed or property papers if the premises are owned
The registered office does not have to be a commercial office — a home address works, as long as the owner consents and the address can receive MCA correspondence.
The SPICe+ process — step by step
Step 1: Check eligibility and structure
Confirm the directors, shareholding split, capital and registered office. Two minutes of care here prevents the most common resubmissions later.
Step 2: Get DSCs for the directors
Every director needs a Class-3 Digital Signature Certificate. It is issued online against PAN and Aadhaar, usually the same day.
Step 3: Reserve the company name (SPICe+ Part A)
Two name options are filed. The CRC checks them against existing companies, trademarks and the name-availability rules. A descriptive, distinctive name clears far more often than a generic one.
Step 4: Draft the MOA and AOA
The Memorandum states what the company will do; the Articles state how it will be run internally. Both are prepared in the electronic e-MOA/e-AOA formats for most companies.
Step 5: File SPICe+ Part B with AGILE-PRO-S
The incorporation application goes in with the DIN applications, PAN and TAN applications, EPFO and ESIC registration, and — where you opt in — GST (GSTIN), professional tax registration for the states the form covers, and a bank account opening. Stamp duty on the MOA and AOA is computed by the system on Kerala's schedule and paid with the filing.
Step 6: CRC examination
The Central Registration Centre examines the filing. If anything is unclear, it issues a resubmission note instead of rejecting — most resubmissions are about name similarity, address proof quality or object clauses.
Step 7: Receive the Certificate of Incorporation
The CoI arrives by email with the CIN, company PAN and TAN. This is the company's birth certificate — banks and marketplaces will ask for it constantly.
Step 8: Complete post-incorporation compliance
First board meeting, auditor appointment (ADT-1), share certificates, statutory registers, and the INC-20A commencement declaration within 180 days after the share capital is deposited in the company bank account. Skipping INC-20A is the single most common — and most avoidable — early penalty.
The Kerala ROC — ROC Ernakulam for the entire state
Kerala has a single Registrar of Companies, at Ernakulam (Kochi), with jurisdiction over all districts of the state and the Union Territory of Lakshadweep. A Thiruvananthapuram or Kozhikode company reports to ROC Ernakulam just as a Kochi company does, and the CIN carries the state code "KL".
Kerala was not part of the February 2026 ROC restructure. Incorporation is examined by the Central Registration Centre; ROC Ernakulam handles filings, inspections and adjudication afterwards.
Your CIN — what the 21 characters mean
Your Certificate of Incorporation carries a 21-character Corporate Identity Number. In a number shaped like U72900KL2026PTC123456: the first letter marks listing status (U = unlisted), the next five digits are the industry activity code, KL is the Kerala state code, 2026 is the incorporation year, PTC marks a private limited company, and the last six digits are the registration number issued by the ROC. Banks, marketplaces and customers can verify the CIN free on the MCA portal — it is the quickest trust check a new company gets.

Kerala sits in the middle of the national cost range — well below Karnataka or Rajasthan, above Tamil Nadu and West Bengal. SPICe+ computes the duty from your declared capital and collects it with the filing; for capital above ₹25 lakh, where the Articles charge moves to a percentage basis, we confirm the exact figure SPICe+ computes in writing before you pay.
How ComplyKart helps
We handle the entire filing: DSCs, name reservation, MOA/AOA drafting, SPICe+ and AGILE-PRO-S, stamp duty computation for Kerala, and the post-incorporation pack (first board meeting minutes, auditor appointment support, INC-20A). One fixed fee quoted in writing before we start, a named consultant on your file, and updates at every stage — name approved, filed, resubmission if any, certificate issued. If the CRC raises a query, we answer it; you do not learn MCA procedure the hard way.
What happens after incorporation
Bank account: Open the current account (AGILE-PRO-S can start this with a partner bank) and deposit the paid-up capital.
INC-20A: File the commencement of business declaration within 180 days of incorporation, after the capital is in the bank.
Auditor: Appoint the first auditor within 30 days (board) and file ADT-1.
Registers and certificates: Issue share certificates within 60 days of incorporation; maintain the statutory registers from day one.
GST: Register if your turnover or business model requires it (inter-state supply, marketplaces, or crossing the threshold).
State registrations: Professional tax and Shops & Establishment registration for Kerala — covered in the local layer section below.
Recurring compliance
Annual general meeting every year; board meetings at least four times a year (120-day maximum gap) — small companies get a relaxed two-meeting rule.
Annual filing: AOC-4 (financial statements) and MGT-7/7A (annual return) with the ROC.
Income tax return every year, plus TDS and GST returns as applicable.
Director KYC (DIR-3 KYC) every year for every DIN holder.
MSME Form I (if applicable), BEN-2 for significant beneficial owners, and DPT-3 every June.
None of this is difficult when it is calendared from the start. Every ComplyKart incorporation includes a first-year compliance checklist with your dates on it.
Kerala's own layer — local-body professional tax, Shops Act and K-SWIFT
Professional tax. Kerala levies professional tax through local bodies — the municipal corporation, municipality or panchayat of your office — charged half-yearly and reaching ₹1,250 per half-year at the top slab. The company registers with the local body after incorporation; Kerala professional tax does not ride along with AGILE-PRO-S, so it sits in your first-year checklist as a named step.
Shops & Establishment. Establishments register under the Kerala Shops and Commercial Establishments Act, 1960 with the Labour Department, through the state's online system. The certificate is a standard document for bank and marketplace onboarding.
K-SWIFT. Kerala's single-window system is the channel for state clearances — and the Kerala Startup Mission (KSUM) ecosystem is worth knowing for early-stage companies, for its incubation and funding-access programmes. Neither changes incorporation; both shape the first year.
If a founder is outside India
Foreign nationals and NRIs can hold shares and directorships in an Indian private limited company, subject to the FDI rules for the sector. The practical differences are paperwork, not permission: passport and overseas address proof need apostille or consular attestation, the DSC application uses the passport as identity proof, and at least one director must be resident in India. The foreign investment must come through proper banking channels, and FC-GPR reporting follows within 30 days of share allotment. If this is your situation, our company registration in India for foreigners page walks through the FEMA side in detail.

If two or more founders, outside investment or enterprise customers are anywhere in your plan, the private limited company is usually worth its extra compliance. If you are alone, look at the OPC; if you are a professional practice sharing profits without outside equity, the LLP deserves a serious look.
Registering in another state instead?
The SPICe+ process is national, but stamp duty, the ROC map and professional tax are not. If your registered office will actually sit elsewhere, see how the numbers change for private limited company registration in Tamil Nadu and private limited company registration in Karnataka — and register where the office genuinely is, because shifting states later is a formal ROC process, not a change of address.

You pay for our expert's time — document checking, filing, follow-ups — not the government. The government fee goes to the government; our fee is for the work we do so you don't have to figure it out yourself.
₹3,000 at any authorised capital up to ₹10 lakh: ₹1,000 flat on the Memorandum (Kerala Stamp Act, Article 36(a)) and ₹2,000 on the Articles (Article 10). Capital above ₹10 lakh up to ₹25 lakh takes the AOA charge to ₹5,000; above ₹25 lakh a percentage rate applies with a ₹25 lakh cap, and SPICe+ computes the exact figure at filing.
ROC Ernakulam (Kochi), for the whole state and Lakshadweep — Kerala has a single Registrar of Companies and was not part of the 2026 ROC restructure. The state code in your CIN is KL.
It is levied by your local body — corporation, municipality or panchayat — not by the state directly, and it is charged half-yearly, up to ₹1,250 per half-year at the top slab. The company registers with the local body after incorporation; unlike Maharashtra or Karnataka, the registration is not part of the AGILE-PRO-S form.
Yes — under the Kerala Shops and Commercial Establishments Act, 1960, through the Labour Department's online system. It is part of the standard document set banks and marketplaces ask a new company for.
K-SWIFT is Kerala's single-window clearance system for state-level approvals. Incorporation itself stays with the MCA's SPICe+ — K-SWIFT is where state licences and clearances are applied for afterwards, and a company taking premises or entering a regulated activity will use it in its first months.
7–15 working days for a clean SPICe+ filing — DSC and name approval in the first 2–3 days, then CRC examination, with stamp duty collected inside the form. ROC Ernakulam handles your filings after incorporation.
Yes, with the property owner's no-objection certificate and a utility bill not older than two months. Many Kerala founders start from a home office — particularly in the IT and services sector — and move the registered office with an INC-22 filing when they take commercial space; staying within Kerala keeps you under ROC Ernakulam throughout.
